Thank you for using Searchgive.com, where searching becomes giving.
By using Searchgive, you agree to be bound by the following terms and conditions, the "Terms of Service".
We will not share your name, email address or any other information you provide to us with anyone. We will never sell your name to any product or service providers and we will never market to you.
In order to be listed on Searchgive.com and have a Searchgive engine, a charity must be listed as a 501(c)(3) and be in good standing. Searchgive reserves the right to request proof of good standing as condition of this agreement. Participation in the Program is subject to Searchgive prior approval. Searchgive reserves the right to refuse participation to any organization, including nonprofits and schools, at any time in its sole discretion.
Each organization will receive a minimum share of 50% of the revenue generated from its Searchgive site and any Searchgive powered search boxes pointed to the charity's site. Payments will be made to partner charities at the end of every month provided that the charity's earnings total $25 or more. In the event that the charity's earnings total less than $25, that total will be added to the next month's total and be paid if the total is more than $25. In no event will Searchgive make payments for any earned balance less than $25.
Notwithstanding the foregoing, Searchgive shall not be liable for any payment based on any amounts which result from invalid queries or invalid clicks on ads generated by any person, bot, automated program or similar device, as reasonably determined by Searchgive, including without limitation through any clicks or impressions originating from your IP addresses or computers under your control.
The sites displayed as search results or linked to by Searchgive are developed by people over whom Searchgive exercises no control The websites and other content which may be displayed as search results, or which may be linked by search results provided by Searchgive are created by third parties. The search results provided by Searchgive are the result of an automated process in response to your search query, and Searchgive cannot and does not screen such search results or their related content. As a result, Third Party Content displayed as search results or reached via search results may include inaccurate, misleading, offensive, inappropriate, harmful or unlawful material. Searchgive has no control over, and assumes no responsibility for any Third Party Content, nor the privacy policies or other practices of any third party website.
The Searchgive Services are made available for your personal, non-commercial use only. You may not use the Searchgive Services to sell a product or service, or to increase traffic to your Web site for commercial reasons, such as advertising sales. You may not take the results from a Searchgive search and reformat and display them, or mirror the Searchgive home page or results pages on your Web site. You may not "meta-search" Searchgive. If you want to make commercial use of the Searchgive Services, you must enter into an agreement with Searchgive to do so in advance. Please contact us for more information.
If you are interested in adding a Searchgive search box to your web site or your company's web site, we encourage you to do so.
You agree to indemnify and hold Searchgive and its parent, subsidiaries, affiliates, partners and licensors, and their employees, officers, directors and agents harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Searchgive Services, any content you submit or otherwise make available through the Searchgive Services, or your violation of these Terms of Service or of any rights of a third party.
The contents of the Searchgive websites, other than Third Party Content, along with any associated software (collectively, the "Searchgive Content"), and all Intellectual Property Rights (as defined below) related thereto, are the exclusive property of Searchgive and its licensors. Except as explicitly provided herein, nothing in these Terms of Service shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Searchgive Content.
For the purposes of this Agreement, "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction, relating the Searchgive Content.
While Searchgive makes no claim of ownership with respect to content you upload or otherwise make available on the Searchgive Services, by providing such content you grant to Searchgive a worldwide, perpetual, royalty free and non-exclusive license to use, distribute, reproduce, modify, publicly perform and publicly display such content on the Searchgive websites for the purposes of providing the Searchgive Services.
Searchgive reserves the right to remove any content you provide, and terminate any accounts containing content, which content we determine, in our sole discretion, is unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.
Searchgive will respond to notices of alleged copyright infringement that comply with the requirements of the Digital Millennium Copyright Act. If you have evidence, know, or have a good faith belief that your rights or the rights of a third party have been violated by any Third Party Content and you want Searchgive to remove such content from its search results, you must provide Searchgive with the following information:

We may modify or terminate our services from time to time, for any reason, and without notice, including the right to terminate with or without notice, without liability to you, any other user or any third party. THE SEARCHGIVE SERVICES AND ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE, PRODUCTS AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SEARCHGIVE SERVICES ("MATERIALS") ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SEARCHGIVE SERVICES OR THE MATERIALS IS AT YOUR DISCRETION AND AT YOUR OWN RISK. THE SEARCHGIVE SERVICES AND THE MATERIALS ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.
Searchgive disclaims any responsibility or liability for (i) the content, accuracy, lawfulness or availability of any material contained in any search results provided by Searchgive; (ii) the security, storage, delivery or failure to deliver any material; and (iii) any harm that results from your access to any material on the Internet through Searchgive.
IN NO EVENT SHALL SEARCHGIVE, ITS AFFILIATES, DIRECTORS, EMPLOYEES OR ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM YOUR USE, MISUSE OR RELIANCE UPON ANY SEARCHGIVE SERVICES OR DAMAGES RELATED TO OTHER SERVICES, GOODS, INFORMATION OR ADVICE RECEIVED THROUGH THE SEARCHGIVE SERVICES, WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF SEARCHGIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ANY EVENT, YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY LIABILITY RELATING TO OR ARISING OUT OF THE SEARCHGIVE SERVICES OR THESE TERMS OF SERVICE, REGARDLESS OF THE FORM IN WHICH ANY LEGAL OR EQUITABLE ACTION MAY BE BROUGHT, SHALL BE FOR YOU TO DISCONTINUE YOUR USE OF THE SEARCHGIVE SERVICES.
These Terms of Service will be governed by and construed in accordance with the laws of the State of New York, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.
These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by Searchgive.
